Regulation A - Tier 2

Securities offered and sold under Regulation A - Tier 2 in Wyoming shall:

• File a completed Regulation A-Tier2 notice filing
• Submit the $200 fee at least twenty-one (21) calendar days prior to the initial sale
• Filing may be submitted through NASAA EFD
• The initial notice filing is effective for twelve (12) months from the date of filing
• A renewal may be filed for each additional twelve-month period - Renewal fee is $200
• Amendment - An issuer may at any time increase the amount of securities offered in the state by submitting a Reg A-Tier 2 Notice Filing form. No Fee is assessed.
