Commercial Registered Agents
A Commercial Registered Agent is a registered agent who either represents more than ten (10) businesses or represents another commercial registered agent and has filed their Commercial Registered Agent Registration with this Office.
As soon as you represent more than ten (10) businesses or you are appointed to represent another Commercial Registered Agent, you must register. You may register at any time prior to that if you believe you will be representing more than ten (10) businesses or another Commercial Registered Agent. The fee to register is $50.
Yes, a Commercial Registered Agent’s registration is valid until 12/31 of each year. The renewal period begins 10/1 of each year and continues through 12/31 during which time an existing Commercial Registered Agent must renew their registration.

A registered agent may register as a Commercial Registered Agent at any time throughout the year, however will still be responsible for renewing before 12/31 regardless of their initial registration date.
Wyoming law requires a Commercial Registered Agent to renew by 11/30 of each year, however renewals may still be submitted through 12/31 with an additional fee. If a Commercial Registered Agent fails to renew or cancel their registration by 12/31, they are subject to a late fee of $500 plus administrative fees for each entity they represent. On the first day of the year following their failure to renew (1/1), they will be removed as the registered agent for all entities they represented and those entities will be without a registered agent.
A registered agent who represents more than ten (10) business entities or another Commercial Registered Agent and does not register with the Secretary of State will not be allowed to represent any more businesses. The registered agent will be considered out of compliance with the law, may be removed as the registered agent from the entities they already represent, and those entities will be without a registered agent.

General Information
A registered agent may be an individual who is at least eighteen (18) years old or a business entity who is registered and in good standing with this Office. A registered agent is required to have a physical Wyoming address to accept service of process. All businesses, domestic or foreign, are required to continuously maintain a registered agent. Yes. You must be at least eighteen (18) years old, reside in Wyoming, have a physical Wyoming address and valid email address to meet the qualifications to act as a registered agent.
No. A registered office may be the same as the place of business, but by law, shall be located at a street address in Wyoming which shall be a physical location where an individual can accept service of process. Post office boxes, drop boxes, virtual addresses, mail forwarding locations, UPS or FedEx stores do not qualify as an acceptable registered office address.
Yes. By law, a registered agent shall keep at the registered office:

● The names and addresses of the officers, directors, limited liability company managers, managing partners, trustees or persons serving in a similar capacity (applicable to domestic Wyoming entities only);

● Name, physical address and business phone number of a natural person who is authorized to receive communications from the registered agent (all entities);

● EXCEPTION: If the entity and registered agent agree, then the entity (domestic or foreign) can file the above information with this Office and it will become part of the entity’s public record [W.S. 17-28-107(b)];

● If an employee of the registered agent has authority to accept service of process in the registered agent’s absence, a copy of a written contract or agreement giving the employee such authority.

File an Appointment of New Registered Agent and Office form along with the filing fee of $5.00.
File a Registered Agent Information Update form. The filing fee is $5.00 per entity, both active and inactive, represented by you.
File either a Statement of Resignation or a Statement of Resignation with Successor Appointed. The filing fee is $5.00 per entity you are resigning from.

About Our Office

We have a long history of serving the public. Beginning in April 1869 with the appointment of the first Secretary of the Territory of Wyoming, Edward M. Lee, by United States President Ulysses S. Grant, this office has always served the public from the State Capitol Building. However, following the completion of the Capitol Renovation Project in 2019, the Office is now located at Herschler Building East, Suites 100 and 101.
